1. Acceptance of Terms

By accessing or using the website mediosta.com (the "Site") or engaging any of Mediosta's AI growth and operations services (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the Site or the Services.

2. About Mediosta

Mediosta ("Mediosta," "we," "us," "our") is a growth and operations automation provider for businesses, offering AI-powered lead identification, outreach, sales and workflow automation, and operations automation services.

3. Description of Services

Mediosta provides AI-powered growth and operations services to businesses, which may include:

  • automated lead identification and qualification;
  • AI-powered outreach via email, LinkedIn, and other channels;
  • sales support and workflow automation;
  • operations automation such as data entry, scheduling, and document processing; and
  • performance analytics and reporting.

The specific scope, pricing, and deliverables for a given engagement are confirmed separately (e.g., via proposal, invoice, or order form) and are governed by these Terms in addition to whatever is agreed there.

4. Eligibility

The Site and Services are intended for businesses and professionals acting in a business capacity, not consumers, and are not directed at individuals under 16. By using the Site or Services, you represent that you are authorized to act on behalf of the business you represent.

5. Use of the Site and Services

You agree to use the Site and Services only for lawful purposes, and not to:

  • misrepresent your identity or authority;
  • interfere with or disrupt the Site or Services;
  • reverse-engineer, copy, or resell any part of our systems or methodology; or
  • use the Services in a way that violates applicable law, including anti-spam, telemarketing, or data protection law.

6. Your Data and Compliance Responsibilities

If you provide us with contact lists, prospect data, or other personal information for use in the Services, you are responsible for having the legal right and appropriate consent or legal basis to share that data, and for ensuring any outreach conducted on your behalf complies with applicable law, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and other applicable anti-spam or telemarketing laws, as well as third-party platform terms, including LinkedIn's User Agreement.

If you are a healthcare or wellness business subject to HIPAA and intend to share Protected Health Information with us, a signed Business Associate Agreement must be in place before any such data is shared. We will not knowingly process PHI without one.

7. Fees and Payment

Fees for the Services are as agreed at the time of engagement and are billed and collected through Stripe. By making a payment, you also agree to Stripe's own terms governing payment processing. Unless otherwise agreed in writing, fees are non-refundable once Services have been rendered, and invoices are due on the terms stated on the invoice.

8. No Guarantee of Results

Performance figures referenced on the Site (e.g., reply rates, booked call rates) reflect aggregate historical results and are not a guarantee of outcomes for any particular business. Results depend on factors outside our control, including your market, offer, and target audience.

9. Intellectual Property

All rights, title, and interest in Mediosta's systems, software (including the Acquisity.ai platform), processes, and methodologies, and in the content of the Site, belong to Mediosta or its licensors. Nothing in these Terms transfers ownership of that technology or content to you. You retain all rights in your own brand, data, and materials.

10. Confidentiality

Any non-public business or technical information shared between you and Mediosta in connection with the Services will be kept confidential and used only for the purposes of that engagement, except where disclosure is required by law.

11. Data Protection and HIPAA

Our collection and use of personal data is described in our Privacy Policy. Where we process Protected Health Information on your behalf, that processing is governed by a separate Business Associate Agreement, which takes precedence over these Terms with respect to PHI specifically.

12. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, Mediosta's total liability arising out of or relating to the Site or Services will not exceed the fees you paid to Mediosta in the three (3) months preceding the claim. Mediosta will not be liable for indirect, incidental, consequential, or special damages, including lost profits or lost business opportunities.

14. Indemnification

You agree to indemnify and hold Mediosta harmless from claims arising out of your breach of §6 (Your Data and Compliance Responsibilities), including claims relating to unauthorized use of personal data or PHI you share with us.

15. Third-Party Services and Links

Delivery of the Services relies on third-party platforms, including Acquisity.ai, Stripe, Calendly, and LinkedIn. We are not responsible for the availability, content, or practices of these third-party services, which are governed by their own terms.

16. Termination

We may suspend or terminate access to the Site or Services at our discretion, including for breach of these Terms or non-payment. Sections that by their nature should survive termination (including §9, §10, §11, §13, and §14) will continue to apply.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing.

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site or Services after an update constitutes acceptance of the revised Terms.
